This summary explains the key ideas of the Terms in simple language. It is not a substitute for the full Terms but helps you understand the most important points.

Pyxa.ai gives you access to a collection of AI powered tools for text, images, audio, video, social media posting, chatbots, and other creative features. Your plan may include unlimited usage for certain included tools. Some advanced high cost tools operate under Fair Use guidelines to ensure the platform remains sustainable for all users.

Unlimited usage applies to the included tools in your plan. Certain advanced tools are not unlimited and require responsible use under the Fair Use Policy. This prevents overload and ensures lifetime users can enjoy long term stability.

Fair Use protects the platform from extremely heavy or abnormal usage that becomes financially unsustainable. If usage becomes too high or outside normal business or personal patterns, Pyxa.ai may give a warning, place temporary limits, or adjust access to keep the service stable.

Refunds are available within 7 days and depend on usage during those 7 days. Refunds must be requested through our support system. Digital downloads, once accessed, cannot be refunded.

You must use the tools legally and follow the rules of any connected platforms. You are responsible for all content you create or upload. You must respect copyright, intellectual property, privacy, and all laws.

When using the social media scheduler powered by Late, you must follow all social network rules and avoid spam, duplicate posting, or harmful content. Violations may lead to suspension of posting features.

Pyxa.ai will always try to notify you before restricting access unless the violation is severe. You can appeal any enforcement decision through support.

1. Introduction

These Terms and Conditions govern your access to and use of Pyxa.ai, a platform developed by Vivids Group Limited.

By accessing or using Pyxa.ai, you agree to comply with these Terms. If you do not agree, you may not use the services.

2. Eligibility

By using Pyxa.ai, you confirm that:

You are at least 18 years old or have the consent of a parent or legal guardian.
You comply with all applicable laws, regulations, and standards.
You have the legal capacity to enter into binding agreements.

3. Account Registration

To access certain features, you must create an account and provide accurate, complete information.
You are responsible for maintaining the confidentiality of your login credentials.
Pyxa.ai reserves the right to suspend or terminate accounts that violate these Terms.
You must notify us immediately of any unauthorized access to your account.
We reserve the right to refuse service to anyone at any time.

4. User Generated Content and Data Usage

4.1 Ownership and Licensing

You retain ownership of all content you upload, generate, or train on Pyxa.ai.
By using the platform, you grant Pyxa.ai a non exclusive worldwide license to process and store your content as required to provide the service.
Your content is protected with industry standard security. Pyxa.ai does not claim ownership of user generated content beyond service provision.
Pyxa.ai uses third party AI services to provide certain features. You acknowledge that you are solely responsible for ensuring your generated content complies with laws, copyright, privacy regulations, intellectual property rights, and all legal requirements.

4.2 Third Party AI Use and User Responsibility

Your use of AI services through Pyxa.ai must comply with all applicable laws.
You must ensure that your content does not violate intellectual property rights, privacy regulations, or other legal requirements.
Pyxa.ai is not responsible for how you use the content you generate.

4.3 AI Performance and User Input Dependency

AI results depend on your instructions, brand voice setup, and choice of tools. Outputs vary naturally. Clear prompts produce more accurate results.

5. Prohibited Activities

You agree not to use Pyxa.ai for:

Illegal activities or harmful content.
Uploading or generating content that infringes intellectual property rights.
Offensive, hateful, violent, or sexually inappropriate material.
Impersonation or misleading representations.
Attempting to reverse engineer the platform.
Creating blockchain products such as NFTs without permission.

6. Intellectual Property

Pyxa.ai and all underlying technology belong to Vivids Group Limited.
You are fully responsible for your generated content.
Pyxa.ai disclaims liability for misuse of user generated content.

6.1 Third Party API Integration

Your use of third party AI tools through Pyxa.ai is subject to the terms of each provider.
You are responsible for complying with all applicable third party terms.
Pyxa.ai is not liable for actions taken by those providers against your usage.

6.2 Intellectual Property Disclaimer

Pyxa.ai does not claim ownership over third party models, tools, or outputs.
All referenced trademarks belong to their respective owners.

7. Fees and Payment

7.1 Payment Terms

Certain features require payment as listed on the platform.
Payments are processed securely through third party providers.
You authorize Pyxa.ai to charge your payment method for all services.

7.2 Service Plan Modifications

Pyxa.ai may modify plans, pricing, or features to ensure sustainability. Existing lifetime users will generally remain on their current terms unless changes are required for:

Legal compliance
Security improvements
Abuse prevention
Technical infrastructure needs

You will be notified of significant changes where possible.

7.3 Refund Policy Integration

All purchases follow our refund policy:

Refunds available within 7 days based on usage
Up to 10 percent usage: full refund
10 to 50 percent usage: 50 percent refund
Over 50 percent usage: no refund
Digital downloads are non refundable once accessed

Refund requests must be made through the Pyxa.ai support system and require a valid ticket.

8. Service Availability and Performance

Pyxa.ai aims for high availability but interruptions may occur.
Pyxa.ai is not responsible for downtime caused by third party providers or force majeure events.
We may modify or suspend features at any time.
We may limit certain features when necessary.

9. Comprehensive Fair Use Policy

9.1 Usage Limits and Monitoring

Your plan includes unlimited usage for included tools. Certain advanced tools require responsible use under the Fair Use Policy to protect platform sustainability.

Pyxa.ai monitors usage to prevent:

Excessive or abnormal usage
Economically unsustainable activity
Activity inconsistent with normal business or personal use

9.2 Consequences of Violations

Actions Pyxa.ai may take include:

Warnings
Temporary limits
Restrictions on specific tools
Termination of account
Refund at Pyxa.ai discretion to conclude the relationship

9.3 Refunds for Violations

Refund amount depends on severity, duration, and impact of the violation.

9.4 AI Avatar Video Fair Use Policy

Video tools are intended for individual content creation, not bulk production.

Usage thresholds apply:

More than 10 minutes of video per day requires review
More than 200 minutes per month may result in restrictions

These limits protect the sustainability of the service. Penalties may apply for abuse.

9.5 Appeal Process

You may appeal any Fair Use decision through the official support system within 30 days.

10. Digital Products and Downloads

Digital downloads become non refundable once accessed.
Users must review details before purchasing.

11. Content Moderation and Compliance

11.1 Content Review

Pyxa.ai may review, monitor, or remove content that violates these Terms.

11.2 Reporting

Users may report content through the support system.

12. Defamation and Public Conduct

12.1 Public Defamation Policy

Users who publicly defame Pyxa.ai without first seeking support may forfeit refunds or support eligibility.

12.2 Right to Refuse Requests

Pyxa.ai may refuse refunds where public attempts to harm the platform occur.

13. Disclaimer of Warranties

Pyxa.ai is provided as is and as available. No guarantees of error free or uninterrupted service are given.

14. Limitation of Liability

Pyxa.ai is not liable for indirect or consequential damages. Liability is limited to the amount paid in the past 12 months or 100 pounds.

15. Indemnification

You agree to indemnify Pyxa.ai for any claims arising from your use of the service or your generated content.

16. Privacy and Security

Pyxa.ai follows applicable data protection laws including GDPR.
Personal data is processed per our Privacy Policy.
No system can guarantee perfect security.
You are responsible for keeping your account secure.

17. AI Module Specific Terms

17.1 Image Tools

You must comply with copyright and avoid harmful or misleading images.

17.2 Avatar Tools

You must not impersonate others without consent.

17.3 Text Tools

You must avoid illegal, misleading, or spam content.

17.4 Voice Tools

Voice cloning must only be used with clear authorization.

18. Social Media Platform Terms Powered by Late

18.1 Acceptable Use

Content must be original and lawful. Users must avoid repetitive or spam like posting. Users must follow the rules of every connected platform.

18.2 Prohibited Content and Activities

Users may not post duplicate content, spam, algorithm manipulation attempts, harmful content, or material banned by any connected social platform.

18.3 Platform Terms Compliance

Pyxa.ai will not publish content that violates platform rules.

18.4 Enforcement

Violations may result in warnings, suspension, removal of posts, API removal, or permanent termination. Refunds are not provided for suspensions.

18.5 Immediate Suspension

Immediate suspension may occur for severe spam, illegal content, repeated violations, or actions that threaten system integrity.

18.6 Appeals Process

Users may appeal by contacting support.

18.7 Account Recovery

Recovery depends on severity and is not guaranteed.

18.8 Reasons Your Social Posting May Be Blocked

Common reasons include duplicate posts, identical content, or spam like patterns.

19. Termination

19.1 By Pyxa.ai

Pyxa.ai may suspend or terminate accounts for violations of these Terms.

19.2 By the User

You may close your account through settings. Refunds follow the Refund Policy.

19.3 Effect of Termination

Access to the service ends. Some data may be retained as required by law.

20. Force Majeure

Pyxa.ai is not liable for events beyond its control.

21. Severability

If any part of these Terms is invalid, the rest remains in effect.

22. Assignment

You may not transfer your rights without permission. Pyxa.ai may assign these Terms.

23. Dispute Resolution
